Terms of Service

1. Agreement

These Terms of Service ("Terms") are a binding agreement between you and Neurai Technologies Private Limited ("CommentFor", "we", "us") governing your use of the CommentFor service, website and applications (the "Service"). By creating an account or using the Service you accept these Terms and our Privacy Policy, which is incorporated by reference. If you accept on behalf of a company or other entity, you represent that you have authority to bind it, and "you" refers to that entity. If you do not agree, do not use the Service.

2. The Service

CommentFor lets businesses connect social media accounts and configure automated replies to comments and messages, deliver links and capture contact details, through the official platform interfaces of Meta and other providers. We may add, change, suspend or discontinue any part of the Service at any time, with notice where reasonably practicable, and are not liable to you for doing so.

Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable right to use the Service for your business for the duration of your subscription. All rights in the Service and its software, content, trademarks and other intellectual property remain ours or our licensors'. No other rights are granted.

3. Your account

You must be at least 18 and able to enter into a binding contract. You must provide accurate information, keep your login credentials confidential, and be authorised to operate every account you connect. You are responsible for all activity under your account, whether or not authorised by you, and must tell us promptly of any suspected unauthorised use.

4. Acceptable use

You must use the Service in compliance with all applicable laws and with the terms and policies of every platform you connect, including Meta's. You must not use the Service to send unsolicited or deceptive messages; to harass, defame or harm anyone; for unlawful, fraudulent or infringing purposes; to collect personal data without a lawful basis; to circumvent platform limits or security measures; to interfere with or reverse engineer the Service; or to help anyone else do any of these. We may suspend or terminate access, with or without notice, where we reasonably believe these Terms have been breached or the Service or our platform access is put at risk.

5. Plans and billing

Plans, prices, allowances and account limits are shown at purchase and may change; a change applies from your next billing period, and you will never be charged an amount that was not shown to you. Prices exclude applicable taxes, which are added at the rates that apply to you. Paid plans are billed in advance, monthly or annually, through our payment processor, and renew automatically until cancelled. Cancellation and refunds are governed by our Refund Policy. Promotional or trial pricing may be offered and may end or change.

Each plan's message allowance is a single combined limit per month for your CommentFor account as a whole, shared by every connected account under it, and resets at the start of each calendar month (00:00 UTC):

Sends are paced within platform limits. Messages sent through CommentFor from a connected account during the current month may count towards the limit of any CommentFor account that account is connected to.

6. Your content and data

You are solely responsible for the content you configure, the messages sent through your account and your relationship with the people you message, including obtaining any consent the law requires. We act as a conduit for that content, do not review it and are not responsible for it. Where we process personal data on your behalf, our Data Processing Addendum applies and forms part of these Terms. You grant us the rights needed to process your content and data to provide and improve the Service, and we process personal data as described in the Privacy Policy. For personal data of the people who interact with your connected accounts, you are the controller and we act on your instructions as processor. You must not use the Service to process sensitive personal data.

You must not use the Service to publish or send material that infringes anyone's copyright or other intellectual property. Our Copyright Policy explains how to report infringing material and how a customer whose material was removed can respond. We suspend or terminate, in appropriate circumstances, the accounts of repeat infringers.

7. Third-party platforms and services

The Service depends on platforms and services we do not control, including Meta's platform interfaces and any integration or payment provider you use. Your relationship with them is governed solely by their terms. We are not responsible for their availability, changes, actions or policies, including any withdrawal or limitation of platform access, and the Service may change or be unavailable as a result.

8. Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OR CONDITIONS OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE, THAT ANY MESSAGE WILL BE DELIVERED, THAT DATA WILL NOT BE LOST, OR THAT ANY BUSINESS RESULT WILL BE ACHIEVED.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE AND OUR DIRECTORS, EMPLOYEES, AGENTS AND SUPPLIERS ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL OR BUSINESS OPPORTUNITY, OR THE COST OF SUBSTITUTE SERVICES, ARISING FROM OR RELATING TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATING TO THE SERVICE OR THESE TERMS IS LIMITED TO THE AMOUNT YOU PAID US FOR THE SERVICE IN THE THREE MONTHS BEFORE THE CLAIM AROSE. SOME JURISDICTIONS DO NOT ALLOW CERTAIN EXCLUSIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

10. Indemnification

You will defend, indemnify and hold us and our directors, employees and agents harmless from any claims, damages, losses and expenses, including reasonable legal fees, arising from your use of the Service, your content and messages, your breach of these Terms or of any platform's terms, or your violation of any law or third-party right.

11. Termination

You may stop using the Service and delete your account at any time from Settings. We may suspend or terminate your access for breach of these Terms or to protect the Service, with notice where reasonably practicable. On termination your right to use the Service ends and we may delete your data in the normal course of operation; it cannot be recovered once deleted. Sections 6 to 14 survive termination.

12. Changes to these Terms

We may update these Terms from time to time. We will post the updated Terms with a new date and, for material changes, notify account holders through the Service. Your continued use after the change takes effect is acceptance of the updated Terms. If you do not agree, stop using the Service.

13. Governing law and disputes

These Terms are governed by the laws of India. Subject to any non-excludable consumer rights that apply to you, the courts at Gurugram, Haryana have exclusive jurisdiction over any dispute arising from these Terms or the Service. Before bringing a claim, please contact us so we can try to resolve the matter.

14. General

These Terms and the documents they reference are the entire agreement between you and us about the Service. If any provision is held unenforceable it will be modified to the minimum extent necessary and the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them to an affiliate or successor. Nothing here creates a partnership, agency or employment relationship, and no third party has rights under these Terms. We may give notices electronically, through the Service or by email to the address on your account.
